مقدمة عامة: في اطار برنامج محافظة البصرة لتطوير المدينة، تسعى المحافظة للحصول على طلبات ابداء الاهتمام من المتقدمين المؤهلين ومن اثبت من خلال التجربة الميدانية للمشاركة في مقاولة تصميم و تنفيذ لاعادة تأهيل المبنى القائم إلى شكل يضمن تشغيلها كقناة فضائية مع الاستوديوهات الملائمة؛ إنشاء قناة فضائية متكاملة بما يؤهلها للبث على الهواء ؛ و تشغيل وتجهيز واعداد وادارة انتاج برامج القناة لمدة سنتين من خلال كادر متخصص وتوفير الصيانة اللازمة بما في ذلك التدريب المطلوب والاعداد للموظفين العراقيين المناظرين. |
General : Under its program for the development of Basra, Basra Governorate is seeking Expressions of Interest (EOI) from qualified Bidders with proven professional field experience to participate in undertaking of the design and build (D&B) contract for the rehabilitation of an existing building into an operational satellite channel studio; the establishment of satellite Channel and putting it on the air; and the operation through a specialist staff and maintenance of the channel for two years including all the professional training of the Iraqi similar staff .

الهدف هو إعادة تأهيل المبنى القائم وتغيير وظيفته الى قناة فضائية مع الاستوديوهات المطلوبة وتوفير جميع معدات البث المطلوبة لوضع هذه القناة على الهواء. سوف تشمل المهام المقترحة تأهيل البناية الحالية واعادة تقسيمها لتصبح بمثابة قناة متكاملة للبث مع الاستوديوهات الضرورية. تدقيق المعدات الموردة حاليا وتوريد جميع المعدات اللازمة الاخرى لضمان كون قدرات البث للقناة عملية ومهنية شاملة مدة سنتين للتشغيل والصيانة للقناة الفضائية ، كما يتضمن نطاق العمل ايضا برنامج التدريب المهني باسلوب النظير لتدريب جميع الموظفين العراقيين مع الادارة المالية لواردات ومصروفات القناة التشغيلية والاعلانية وغيرها.
سوف يكون على المتقدم الفائز إكمال جميع مهام التصميم التنفيذ؛ تجهيز جميع معدات البث المطلوبة بعد تدقيق الموجود منها حليا ؛ و تشغيل القناة فنيا وصيانة نظام القناة بما يتطابق مع المعايير العالمية والمحلية للبث الفضائي و لمايير الجودة النوعية و المواصفات المعمول بها. |
The objective is to professionally rehabilitate an existing building to serve as a satellite channel with the required studios and providing all needed broadcast equipment to put this channel on air.
The proposed tasks will include Building rehabilitation and retrofitting it to serve as fully operational studios for a broadcasting channel. Survey existing equipment and furnish the remaining broadcasting equipment to properly and professionally operate the channel broadcasting capabilities and under a two year commission to operate and maintain the satellite channel, which also includes the establishment a professional training program to train all Iraqi staff with the required financial operation for both operational and advertising.
The winning Bidder will complete the design and build tasks; survey existing equipment and furnish the remaining broadcasting equipment; and will operate and maintain the channel system in compliance with all applicable international and local broadcasting quality practices, codes, standards and guidelines. |

Following the receipt of the Expression of Interest in response to this call, a preliminary evaluation of the parties will be conducted and a short listing will be developed. This preliminary evaluation will be based on the criteria noted below of this invitation for Expression of Interest. |

سيتحمل المشاركين مسؤولية أي نفقات تم تكبدها في الاستجابة لطلب ابداء الاهتمام، والشروط ممكن تغييرها أو الغائها من قبل محافظة البصرة في أي وقت. بغض النظر عن طبيعة أو مضمون الردود التي استُلمت، محافظة البصرة و/ أو هيل انترناشونال ليست ملزمة بإضافة اي من المشاركين إلى قائمة المتقدمون لهذا العمل، ومن ثم دعوته ضمن مرحلة طلب تحديد الاسعار (RFQ)، أو منح عقد للخدمات الموضحة في طلب ابداء الاهتمام الحالي. |
Bidders shall be responsible for any expenses incurred in responding to the EOI, the terms of which are subject to change or cancellation by Basra Governorate at any time. Notwithstanding the nature or content of responses received, the Governorate of Basra and/or HILL International are not obliged to add any proponent to the Bidders list for this work, to proceed with a Request for Quotation (RFQ), or to award a Contract for the services described in this EOI. |

بيان الغرض و نطاق العمل: على مقاول التصميم والتنفيذ/مشغل القناة ان يقوم بجميع مهام التصميم، التنفيذ والإشراف والكوادر والمواد والإمدادات والمعدات والتشغيل والصيانة والتدريب والخدمات للقيام بجميع المهام المرتبطة بنطاق الاعمال المذكورة أعلاه ، بما في ذلك، ولكن ليس على سبيل الحصر، ما يلي: بموجب عقد التصميم والتنفيذ ان يتم تحديث وتعديل المبنى ليكون بمثابة الموقع المناسب لتشغيل القناة الفضائية المحلية . وكحد أدنى ، يجب أن يكون مقر القناة الفضائية الجديد مؤهل بشكل مناسب ومزود بما يلي : نظام تكييف ،نظام مصاعد، نظام أمني ، نظام الاتصالات السلكية واللاسلكية " الداخلية و الخارجية" مع نظام منظومة اتصالات مزدوج بما لا تقل عن 6 خطوط لتوفير سهولة تأمين الاتصالات من خلال الاستديو.
يجب ان تتم اعادة تصميم المبنى وتقسيمه للحصول على العدد المطلوب من الاستوديوهات اللازمة للأغراض والاستخدامات المختلفة من الإنتاج. كما يتطلب العمل اعادة التصاميم الداخلية والتأثيث والديكورات لتلبية جميع احتياجات الاستديوهات الصوتية المطلوبة و إنتاج البرامج. وينبغي أن تشمل هذه الديكورات جميع احتياجات القناة الفضائية التشغيلية مع الأخذ بعين الاعتبار ضرورة إنتاج جميع برامجها ضمن هذه الاستديوهات.

تزويد خدمات الإنترنت فائقة السرعة مع كافة الأجهزة و المعدات المطلوبة لتلبية الاحتياجات والمتطلبات التشغيلية لاستوديوهات القناة الفضائية.
تصميم و استضافة موقع على شبكة الإنترنت وبالشكل النموذجي للقناة ، مع التحديث والصيانة اليومية من قبل موظفين متخصصين في القناة، مع إنتاج وبث الأخبار اليومية و أهم البرامج وتوفير جميع البرامج التي تم إنتاجها وعرضها عبر الإنترنت من خلال خدمات شبكة الإنترنت.
تصميم قدرات إنتاج القناة لتشمل برامج التحقيقات والوثائقية والبرامج المتنوعة، أفلام الرسوم المتحركة ، والدراما العراقية و الإنتاجات الخارجية ( العربية والأجنبية ) ، بما في ذلك 500 ساعة من البرامج الارشيفية العراقية و خصوصا بمحافظة البصرة شاملة التاريخ والتراث والحقائق والبرامج المنوعة. توفير جميع رافعات الكاميرات اللازمة من مختلف الأحجام من 6 الى 12 متر وتوفير جميع حاملات الكاميرا على الكتف المطلوبة لضمان قدرات الإنتاج الداخلي والخارجي. على ان يكون للقناة قدرات الانتاج الداخلي والخارجي. تأمين اشتراك القناة في خدمات الأخبار الدولية وكالات االانباء وبشكل خاصة الخدمات النصية و الفيديو من وكالات رويترز و فرانس برس. تشغيل وإدارة و تدريب جميع موظفين القناة للبرامج اليومية والاسبوعية السياسية والاقتصادية والثقافية والدينية والرياضية و الترفيهية. على ان يتم تركيز الجهود على القضايا المحلية في البصرة على أن هذه البرامج سوف تعامل بموضوعية كل الظواهر والأحداث والتطورات في البصرة، ان إنشاء هذه القناة لتكون القناة العراقية المخصصة لمحافظة البصرة.
تخطيط و تنفيذ حملة إعلانية للقناة الفضائية قبل البدء في أي بث. وكحد أدنى، يجب أن تكون بداية هذه الحملة الإعلانية من خلال نشر لافتات دعائية مصورة في الأماكن العامة في جميع أنحاء محافظة البصرة ، و بث إعلانات مدفوعة من خلال القنوات الوطنية العراقية و المحطات الإذاعية ، كما أنه يقع على عاتق الشركة تنظيم الاحتفالات الرسمية بمناسبة تاريخ إطلاق بث القناة و الأعياد الأخرى .
إدارة جميع الشؤون المالية المرتبطة بتشغيل المحطة الفضائية والتي تشمل ولكن لا تقتصر على العمل اليومي ، إنتاج البرنامج، والبرامج الإعلانية خلال أول سنتين من التشغيل الفعلي للقناة.
تضمين برنامج التدريب المهني الكامل لجميع الموظفين العراقيين بالشكل الذي يمكنهم لتشغيل قناة فضائية .
سوف تكون جميع المهام المذكورة أعلاه تحت إشراف ومتابعة من لجنة إدارة القناة التي سيتم تعيينهم من قبل محافظة البصرة |
STATEMENT OF PURPOSE & SCOPE OF WORK: The Design and Build Contractor/operator shall furnish all design, construction, supervision, labor, materials, supplies, equipment, operation, maintenance, training and services for undertaking all tasks associated with the design and construction, of the above mentioned scope of work, including but not limited to the following: Under the D&B contract the building shall be retrofitted to serve as the operational home studio for a local satellite channel. As a minimum, the new studio must be suitably and professionally furnished with the following: HVAC, security system, Conveying telecommunication system “Internal and External” with a Hydride system not less than 6 lines to provide easy access of phone lines throughout the studio; The Building is to be partitioned to satisfy the required number of studios needed for the different purposes and uses of production. Space retrofitting will require a professional Interior Design to meet all the needs of sound proofing and program productions and all FF&E for producing programs. These decorations should cover all the needs of an operational satellite channel taking into consideration the production of all their programs. Booking broadcast frequencies through channel space satellite (Galaxy, Nile Sat , Hot bird) with a suitable capacity; Supply ultra-speed internet services with all the required devices and equipment to satisfy the needs and requirements for the studios of an operational satellite channel; Design and host typical web site for the channel, with daily updating and maintenance by the specialist employees in the channel, with production and airing daily the most important news and programs and providing all their production programs online through the internet services; Design the channel production capabilities to include investigative programs, documentaries, diverse programing capabilities, animated films, Iraqi drama and imported productions (Arabic and foreign), religious educations; including 500 hours of the programs from Iraqi Archives and in particular on Basra history, heritage and fun facts; Provide all the required Cameras and Cranes of different sizes from 6-12meter and provide all the required mobile camera holders for internal and external production capabilities. The channel will have in-studio and remote production capabilities; Secure subscription of the channel in the International News Agencies Services especially the text and video service capabilities from Reuters Agencies, and AFP. Operate, manage and train all channel employees to produce daily and weekly political, economic, cultural, religious, sport and entertainment programs. It is important that the programming efforts will focus on local Basra issues and that these programs will objectively treat all phenomenon, events and developments in Basra establishing the channel to be an Iraqi channel specifically for the Governorate of Basra. Plan and implement an advertising campaign for the satellite channel before starting any broadcasts. As a minimum, this advertising campaign shall start by publishing photograph advertisement banners in public places throughout the Governorate of Basra, and broadcasting paid advertisements through the National Iraqi channels and radio stations, also it is the firm’s responsibility to organize official celebrations on the occasion of the channel’s broadcast launch date and other Holidays. Managing all the financial affairs associated with running a satellite channel station which includes but is not limited to the daily operation, program productions, and advertising programs during the first two years of actual operation of the Channel; Incorporating a full professional training program for all Iraqi staff covering the full spectrum of operating a professional satellite channel; and All the above tasks will be under the supervision and follow-up of the channel management committee that will be appointed by the Governorate of Basra. |

يجب أن تكون جميع التصاميم والتنفيذ والتشغيل والتدريب والتشغيل المالي وفقاً لأفضل المعايير والمواصفات الدولية المعمول بها للقنوات الفضائية المرخصة والعاملة. |
i) All designs, construction, operation, training and financial operation shall be in accordance with the best applicable international standards and practices for licensed satellite channels. |

يجب على مقاول التصميم والتنفيذ / المشغل التنسيق الكامل لتصميمه واعماله المنفذة وتشغيله للقناة مع ادارة المشروع والاستشاريين المتخصصين الذين تم تعيينهم لضمان التنسيق على تفاصيل متطلبات التنفيذ والتركيب. |
ii) The D&B Contractor/ operator shall fully coordinate his design, construction and operation with the PMC and any other Specialist Consultants assigned to ensure coordination of details, systems requirements and installation. |

يجب أن يكون مقاول التصميم والتنفيذ مسؤولا عن جميع عمليات المسح الموقعي والتقييم اللازمة. |
iv) The D&B Contractor/ operator shall be responsible for all the necessary surveys and assessments. |

ويجب على مقاول التصميم والتنفيذ/ المشغل ان يكون مسؤولاً عن الاتصال بجميع الجهات ذات العلاقة للتحصل على جميع الموافقات القانونية وغيرها لتشغيل القناة وتفعيل بثها على الهواء. جميع الكلف والمصاريف المترتبة على ذلك تقع على مسؤولية المقاول/المشغل. |
v) The D&B Contractor/ operator shall be responsible for contacting all applicable Authorities to achieve all permits to legally put the channel on the air. All costs associated with the permits will be the responsibility of the contractor/operator. |

D&B معايير المقاولين/ المشغلين: محافظة البصرة تدعو لأبداء الاهتمام لخدمات عقود التصميم والتنفيذ لتأهيل المبنى، التدريب، وتشغيل القناة من المتقدمين المؤهلين ذوي الخبرة، والشركات المؤهلة، والسمعه المعتبرة، المشهود لهم دولياً، والقادرة مالياً التي تناسب المعايير التالية؛ |
D&B CONTRACTORS/OPERATORS CRITERIA: The Governorate of Basra invites Expressions of Interest for Design and Build for the rehabilitation, Training and Operation Services from qualified, experienced, reputed, internationally acclaimed, and financially capable Contractors/Operators which fits the following Criteria; |

(أ) يجب أن يكون مقاول التصميم والتنفيذ/ المشغل لديه خبرة لا تقل عن عشرة (10) اعوام من خبرة تشغيل وادارة القنوات الفضائية ومشاريع مماثلة في مجال انشاء، ادارة، تشغيل القنوات الفضائية ومتضمناً أعمال تشغيل وادارة ناجحة وعلى الأقل وبنجاح مشروعين مماثلين في السنوات العشر الماضيه ، وفق المتطلبات ذات العلاقة والمواد التنفيذية مع سمعة عالمية ومحلية جيدة. |
(a)The D&B Contractor/ operator shall have a minimum of Ten (10) years of Satellite Channels experience to undertake the tasks associated with the initiation and Operations of satellite channels and at least have successfully operated and managed Two similar scopes of work in the last ten years with International and Local reputation. |

(ب) تقديم أدلة من الاعمال السابقة (قائمة من مشروعين كحد أدنى أنجزت حتى الآن) مماثلة في النطاق واكثر تعقيداً ، ولا تقل كلفة كلا منها عن خمسة مليون دولار أمريكي (5,000,000 دولار أمريكي). (ارفاق نسخ من خطابات وشهادات الاحالة وشهادات الانجاز الناجح وخطابات المرجعية المدعومة). |
(b) The contractor/operator shall provide Provisions of evidence of previous operations (list of 2 projects as a minimum ongoing to date) similar in scope & complexity, and costing of not less than 5 Million US Dollars (USD 5,000,000). (Copies of letters of award & successful completion certificates and supporting reference letters should be attached). |

(ج) على مقاول التصميم والتنفيذ/ المشغل أن يثبتت كفائته المالية في تمويل المشاريع ذات الطبيعة المماثلة. فإنه من الأهمية القصوى أن يقدم الوثائق المطلوبة لدعم القدرات المالية وتقديم الحسابات الختامية لثلاث (3) سنوات الاخيرة ودعم القدرات المالية له برسالة مُرجعيه من البنك تفيد بكفاءته المالية وكحد أدنى عشرين مليون دولار أمريكي (1,000,000 دولار أمريكي) من أجل تنفيذ مثل هذا المشروع. |
(c)The Contractor/Operator shall demonstrate strength in source funding for scopes of similar nature. It is of utmost importance that the Contractor/Operator submits the required documentation to support his financial capabilities: a) provide the last three (3) years of financial audits; b) a bank statement supporting his financial capabilities and the bank’s willingness to grant a letter of credit of a minimum of One Million US Dollars (USD 1,000,000) in order to carry out such project. |

(د) توفير وتأكيد تواجد الايدي العاملة والأفراد الاجانب الاختصاصيين الملتزمين بالعمل مع الشركة مع خطة توظيف منظمة لتحقيق أهداف وغايات المشروع. |
(d)Availability and strength of committed Foreigner specialized personnel and Organizational Staffing Plan to accomplish the goals and objectives of this project. |

(ه) المشاركون يجب أن يكونوا مسجلين مع محافظة البصرة وان تكون جميع التراخيص والتصاريح صالحة ومجددة حتى الآن. |
(e)The Contractor/Operator should be registered with the Governorate of Basra and is required to maintain all licenses and permits up to date. |

(و) اتباع برنامج السلامة والمحافظة عليه وان يتم تنفيذ الاعمال بموجب وثيقة نظام إدارة الجودة بما يتوافق مع مبادئ ISO 9001:2008 ويفضل أن يتم اعتمادها برنامج الشركة التنفيذي من قبل .ISO |
(f)Demonstrate and maintain a corporate safety program and culture and conduct business in accordance with a document Quality Management System in compliance with the principles of ISO 9001:2008 and preferably is accredited by the ISO process. |

(ي) يجب على مقاول التصميم والتنفيذ/التشغيل ان يكون قادراً على اكمال مشروع التصميم واعادة التأهيل خلال الفترة الزمنية المقدرة بـ (4) أشهر من يوم توقيع العقد، وأن يكون مسؤولا عن التشغيل والتدريب خلال الفترة الزمنية المقدرة بـ (28) شهر من يوم توقيع العقد شاملة فترة التصاميم واعادة التأهيل. |
(g)The D&B Contractor/Operator shall be able to complete the Design and rehabilitation portion of the contract within a time period of four (4) months from the day of signing the contract and the operation and training portion to be completed in Twenty Eight (28) months including the design and rehabilitation period. |

ارشادات التقديم : يجب على الأطراف المهتمة تقديم رسالة تفيد اهتمامهم وتقديم مؤهلاتهم المهنية المطلوبة من خلال ملئ وتوقيع وختم استمارة التأهيل المرفقة، تسليط الضوء على مطابقتها للقدرات المذكورة أعلاه جنباً إلى جنب مع بيانات الشركة العامة وتفاصيل الأعمال المماثلة التي قامت بتنفيذها. يمكن للشركات ان تقدم ملفاتها لوحدها، أو متحدة مع شركات أخرى. إذا كانت رسالة ابداء الاهتمام هي من مجموعة من الشركات، يجب ان تتوفر المعلومات المطلوبة لجميع الشركات المكونة للاتحاد ، كما إنه يجب أن يتم توضيح أي شركة هي الشركة الرائدة والممثلة للاتحاد، وينبغي تحديد طبيعة ترتيب وهيكل الاتحاد ، وان يتضمن التقديم رسالة اتفاق الاتحاد الموقعة من جميع الشركات المعنية. |
SUBMISSION GUIDELINES Interested parties shall submit a letter stating their interest and providing their professional qualifications by fully completing, signing, and stamping the attached prequalification form, highlighting their compliance with the above listed capabilities along with the generic company profile and identifying similar works that they executed. Firms may request to be qualified alone, or in consortium with other firms. If the Expression of Interest is from a consortium of firms, then the same information on all firms making up the consortium must be provided and it must clearly indicate which firm is the lead firm of the consortium, and specifying the structure of the consortium arrangement, including a consortium letter of agreement signed by all involved firms. |

الحق في قبول أو رفض أي أو جميع التطبيقات: محافظة البصرة تحتفظ بحقها في تحديث أو تعديل أو استكمال متطلبات، أو إلغاء دعوة ابداء الاهتمام هذه أو عملية استدراج العروض في أي وقت. تحتفظ محافظة البصرة الحق في قبول أو رفض أي من أو جميع الطلبات، وتأهيل أو استبعاد اي أو جميع الطلبات المقدمة لدعوة ابداء الاهتمام. تقديم اجابة لهذه الدعوة ابداء الاهتمام لا يضمن تلقائيا أن الطرف المتقدم ان ياخذ بالاعتبار وصل طلب متطلبات العرض (RFP) عندما أصدر ولن تكون محافظة البصرة ملتزمه على تقبل أي مطالبة بالتعويض عن نفقات فيما يتعلق لإعداد EOI’s و تقديمها. |
RIGHT TO ACCEPT OR REJECT ANY OR ALL APPLICATIONS The Governorate of Basra reserves the right to update, amend or supplement the requirements of, or cancel this Invitation for Expression of Interest or the solicitation process at any time. Basra Governorate reserves the right to accept or reject any or all submissions, and qualify or disqualify any or all submissions made to this Invitation for Expression of Interest. Submitting a response to this Invitation for Expression of Interest does not automatically guarantee that the submitting party will be considered for receipt of the Request for Proposal (RFP) when issued nor will Basra Governorate be under any obligation to entertain any claim for expenses in relation to the preparation and of the EOI’s for submissions. |

محافظة البصرة تحتفظ لنفسها بالحق في رفض أي طلب EOI إذا: (أ) في أي وقت، تم تحريف للمواد أو كشفها، أو (ب) عدم استجابة المقاول فورا للاطار الزمني المحدد. |
The Governorate of Basra reserves the right to reject any EOI application if: (a)At any time, a material misrepresentation is made or uncovered, or (b)The Consultant does not respond promptly and by the designated time frame. |

ان مثل هذا تحريف و / أو اجابات غير لائقه تؤدي إلى تنحية المقاول. محافظة البصرة سوف لن تكون مسؤولة عن فقدان أو عدم استلام أو تأخير في استلام أي طلب التأهيل المسبق تم أرساله عن طريق البريد أو البريد السريع. |
Such misrepresentation and/or improper responses would lead to the disqualification of the Design Consultant. The Governorate of Basra shall not be responsible for the loss or non-receipt or delay in the receipt of any pre-qualification application sent by post or courier. |

ستقوم شركة هيل انترناشيونال (Hill International) بدراسة هذه المؤهلات ولجميع الشركات المتقدمة وسيتم اختيار أفضل الشركات ووضعها ضمن القائمة المختصرة للمناقصة. علماً بأن اخر موعد لتقديم بيانات ابداء الاهتمام هو 16/تشرين الثاني /2014 |
In case that the above mentioned conditions are not obtainable , the submitting company is rejected. In case they are available , the following additional requirements should be presented: - The company full name and CV. -The field of exact specialization -The documents of registration and accreditation. -Description of previous experience in Design & Build of similar projects . -Experience in of infrastructure Design & Build projects in Iraq or outside Iraq (if any) . - The CV of the specialist technical staff .
Hill international Company will study and evaluate these qualifications for all the submitting companies. Then, the best companies will be chosen and written in the tender shortlist knowing that the last date for submitting expression of interest requirements is November 16th /2014

An important attention: This is not an invitation for presenting the proposals . the entire tenders procedures will be practiced for the contractors that will be prequalified for implementing the project.
